HSBC was founded by Thomas Sutherland in Hong Kong in 1864 with a capital of HK $5 million. The HSBC Group is the result of years of expansion by the Hongkong and Shanghai Banking Corporation. The Hongkong and Shanghai Banking Corporation opened its business in Hong Kong in March 1865. In the same year, it opened branches in Shanghai and London, and set up an agent bank in San Francisco. The fuse of its establishment originated from the division of powers of foreign banks in Hong Kong. In July 1864, British businessmen in Bombay planned to set up the Royal Bank of China based in Hong Kong. They issued 30000 shares of 200 Indian rupees each. However, they only planned to sell 5000 shares to Hong Kong and Chinese businessmen, which aroused the dissatisfaction of Hong Kong foreign banks. On July 28 of the same year, Thomas Sutherland, the supervisor of tiehang shipping company, and Baoshun foreign company, led the press to announce the establishment of a bank owned by Hong Kong.
When the Hongkong and Shanghai Banking Corporation was founded, it had a total capital of HK $5 million and 20000 shares of HK $250 each. In 1866, it was split into 40000 shares of HK $125 each. The provisional Committee, which was established in 1864, is composed of 15 members. In 1866, the Hong Kong and Shanghai Banking Ordinance was approved by the Hong Kong government and the British Ministry of finance. HSBC was registered as a limited liability company and authorized to issue Hong Kong Banknotes.
In the early days, the HSBC Group expanded its business around the world by opening branches through the Hongkong and Shanghai Banking Corporation. Until after the Second World War, the business of HSBC was concentrated in Hong Kong, while the branches in the mainland of China were closed one after another since 1949, and the overseas business was not as ideal. With limited development space, it began to establish or acquire subsidiaries in the 1950s.
